1. Business Relationship

Kilynking Industrial Co. Ltd. operates as a B2B (business-to-business) manufacturer and supplier of solar lighting products. Our services are intended for business entities, including distributors, wholesalers, contractors, and government procurement agencies. We do not sell products directly to individual consumers for personal use.

2. Account Registration

To access certain features of our services, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3. Orders and Pricing

All orders are subject to acceptance and availability. Prices are quoted in US Dollars (USD) unless otherwise specified. We reserve the right to modify prices at any time without prior notice. Minimum order quantities (MOQ) apply to all products as specified in product listings or quotations.

Payment terms are typically 30% deposit upon order confirmation and 70% balance before shipment, unless otherwise agreed in writing. We accept wire transfer (T/T), Letter of Credit (L/C), and other mutually agreed payment methods.

4. Shipping and Delivery

Shipping terms are typically FOB (Free On Board) Jiangmen, China unless otherwise specified. Delivery times are estimates and commence from the date of order confirmation, not the date of order placement. We are not responsible for delays caused by customs clearance, weather conditions, or other circumstances beyond our reasonable control.

5. Product Warranty

We provide a standard 3-year warranty on all solar lighting products from the date of delivery. This warranty covers defects in materials and workmanship under normal use and service. Our obligation under this warranty is limited to repairing or replacing, at our discretion, any defective product or component.

The warranty does not cover damage caused by misuse, abuse, negligence, unauthorized modification, improper installation, or force majeure events. Warranty claims must be submitted in writing with supporting documentation and photographs.

6. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of Kilynking Industrial Co. Ltd. or our licensors and is protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

7. OEM/ODM Services

We offer OEM (Original Equipment Manufacturing) and ODM (Original Design Manufacturing) services for qualified business partners. All designs, molds, and proprietary information developed during OEM/ODM projects remain the intellectual property of Kilynking Industrial Co. Ltd. unless otherwise agreed in a separate written agreement. Partners are prohibited from disclosing or using our proprietary designs for purposes other than the agreed project.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Kilynking Industrial Co. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of our products or services.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiations. If negotiations fail, the dispute shall be submitted to the competent court in Ningbo, Zhejiang Province, China.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of significant changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
